Client Portal Terms of Service Agreement

These Terms of Service (“Agreement”) govern your use of the Client Portal (“Portal”) provided by Olex Digital LLC (“Company,” “we,” “us,” or “our”). By accessing or using the Portal, you acknowledge that you have read, understand, and agree to be bound by these Terms of Service.

1. PORTAL DESCRIPTION

The Portal is a secure, online platform provided by Olex Digital LLC at no cost to our clients. The Portal may contain both sensitive and non-sensitive information and documents related to your account and projects, including but not limited to:

  • Client Information: Client name, position/title, phone number, email address, and physical address.
  • Website Information: Domain registrar platforms, DNS settings location, account email information, and specific domain names.
  • Graphic Design Resources: Logo files, source files, social media kits, style guides, branded documents, business card designs, and related custom design files.
  • Billing Information: Organization name, contact name and position, email, phone, address, subscription details, renewal dates, upcoming payments, payment history, payment confirmations, and invoices.
  • Documents: Project contracts, subscription plans, insurance documents, W-9 Forms, project proposals, and related documents.
  • Additional Information: Website domains, client and organization contact information, and other sensitive and non-sensitive data.

2. ACCESS AND AUTHORIZATION

2.1 Access Authorization: Access to the Portal is restricted to Olex Digital staff and the Client. The Client may authorize up to three (3) additional individuals to have access to the Portal. The Client assumes full responsibility for the actions of any authorized users.

2.2 Account Security: The Portal does not store or provide any account passwords or login credentials for your website, email, or hosting accounts. The only credentials that may be stored or displayed are email addresses associated with important accounts (such as the email linked to your domain registrar or DNS provider), solely for reference purposes. No passwords or authentication keys are stored or shared through the Portal. You are solely responsible for maintaining the security of your own login credentials outside the Portal.

3. SECURITY MEASURES AND LIMITATION OF LIABILITY

3.1 Security Standards: We implement industry-standard security measures and best practices to safeguard the information stored on the Portal. While we employ advanced security technologies, no system can guarantee absolute security.

3.2 Limitation of Liability: You acknowledge and agree that Olex Digital LLC shall not be held liable for any loss, damage, or harm resulting from unauthorized access, data breaches, data leaks, cyberattacks, or any other security incidents affecting the Portal. You expressly release Olex Digital LLC from any and all claims arising out of or related to such events.

4. DATA MANAGEMENT AND REMOVAL REQUESTS

4.1 Client Control: You may, at any time, submit a written request to remove specific data from the Portal or to have your entire Client Portal and all associated data permanently deleted. Upon receiving your request, Olex Digital LLC will delete the requested data as soon as possible, except where deletion is not technically possible or where we are required by law to keep certain information.

4.2 Data Retention: Unless otherwise requested by the Client, data within the Portal will be retained for as long as the Client maintains an active business relationship with Olex Digital LLC.

5. CONFIDENTIALITY

5.1 Confidential Information: The information stored on the Portal may include confidential or proprietary information. Both parties agree to maintain the confidentiality of such information and not to disclose it to unauthorized third parties, except as required by law.

6. MODIFICATIONS TO THE AGREEMENT

We reserve the right to modify or update this Agreement at any time. Any changes will become effective upon posting the updated changes to our website (olexdigital.com/policy/). Your continued use of the Portal after any changes are posted constitutes your acceptance of the updated terms.

7. GENERAL TERMS

7.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State in which Olex Digital LLC is registered, without regard to its conflict of laws principles.

7.2 Entire Agreement: This Agreement constitutes the entire understanding between the parties with respect to the Portal and supersedes all prior discussions, agreements, or understandings of any kind.

7.3 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

7.4 Assignment: The Client may not assign or transfer its rights under this Agreement without the prior written consent of Olex Digital LLC.
